Terms of Service

PaveGrid is a spatial system of record for pavement maintenance. It lets organizations upload and calibrate facility basemaps and tie contract items, activities, vendors, and costs to real-world geometry. We may add, change, or remove features over time.

You must provide accurate information, keep your credentials secure, and are responsible for activity under your account. Notify us promptly of any unauthorized use. Access within an organization is controlled by your organization administrator through admin, editor, and viewer roles.

You agree not to:

• Use the Service in violation of any applicable law or regulation.
• Upload content you do not have the right to use, or that infringes the rights of others.
• Attempt to gain unauthorized access to the Service, other accounts, or related systems.
• Interfere with, disrupt, or place undue load on the Service or its infrastructure.
• Reverse engineer, decompile, or resell the Service except as permitted by law.

As between you and Metric Flow, you retain all rights to the content you submit to the Service. You grant us a limited license to host, process, and display that content solely to operate and provide the Service to you. You are responsible for the accuracy of your content and for having the rights necessary to upload it.

The Service, including its software, design, and the PaveGrid name and logo, is owned by Metric Flow and protected by intellectual property laws. These Terms grant you no rights to our marks or software except the right to use the Service as permitted here.

If you subscribe to a paid plan, fees, billing frequency, and payment terms are set out in your order or separate agreement. Fees are exclusive of taxes. We may suspend access for non-payment after reasonable notice.

You can cancel your subscription at any time from the billing page in the Service. Your access continues until the end of the paid month; we do not cut access off early when you cancel.

We do not issue partial refunds for the remainder of a paid month. After the paid month ends, no further charges are made, and the Term and termination section below governs export and deletion of your content.

Each party may receive confidential information from the other. The receiving party will protect it with reasonable care and use it only to perform under these Terms, except where disclosure is required by law.

The Service may interoperate with third-party services. Your use of those services is governed by their own terms, and we are not responsible for them.

The Service is provided on an as-is and as-available basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free.

To the fullest extent permitted by law, Metric Flow will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our total liability arising out of or related to these Terms will not exceed the amount you paid for the Service in the twelve months before the event giving rise to the claim.

You agree to indemnify and hold Metric Flow harmless from claims arising out of your content, your use of the Service, or your breach of these Terms, to the extent permitted by law.

These Terms apply while you use the Service. Either party may terminate access in accordance with any applicable order or agreement. On termination, your right to use the Service ends. We will make your content available for export for a reasonable period before deletion, subject to backups that age out on a rolling basis.

These Terms are governed by the laws of the State of California and applicable United States federal law, without regard to conflict-of-laws principles. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in California for any dispute not resolved informally. The parties will attempt to resolve disputes informally before pursuing formal proceedings.

We may update these Terms from time to time. Material changes will be reflected by the Last updated date above and, where appropriate, communicated to account administrators. Continued use of the Service after changes take effect constitutes acceptance.
